REVA CARE LIMITED: SELF EMPLOYED CARER/HCA AGREEMENT

Parties to this Agreement

This agreement (the "Agreement") is between Reva Care Limited, a company incorporated under the Companies Acts, registration number 14136171, and having its registered office at 59, Kewferry Road, Northwood, HA6 2PQ ("Reva"), and You (the "Self Employed Carer"), who are both the parties to this Agreement ("Parties").

By accessing Reva's Site, and by providing the Services, You agree and confirm:

  • That you have read, understood, and agree to be bound by this Agreement and any Reva Terms and Conditions of Service
  • You may use the App and the Service only as set forth in this Agreement
  • You acknowledge that you have read and understood the content of our privacy policy (https://www.Revacare.co.uk/carer-privacy/)

1. GENERAL PROVISIONS - Background Statement

For the purposes of the Employment Agencies Act 1973 and the Conduct of Employment Agencies and Employment Businesses Regulations 2003 (as amended), Reva operates as an introductory agency. Reva's role is to introduce self-employed carers to clients seeking care services through their platform but does not employ carers, nor does it supervise or direct the manner in which care services are delivered.

You acknowledge that you are engaged on a self-employed basis and are responsible for your own tax, insurance, and compliance obligations.

Role of Reva Care
  • Reva care is an Online digital introductory agency marketplace and mobile application connecting Clients/Care Seekers with self-employed carers
  • Reva Care provides an online marketplace where clients can find self-employed carers (vetted through Reva Care Platform)
  • Reva care platform acts as disclosed collection agent for carers providing secure means for collecting and handling payments
  • Reva Care does not create or manage care plans or provide direction to carers for delivery of care
  • Any care decisions are the sole responsibility of the client/care seeker

2. CARER REGISTRATION PROCESS

Using the webapp (www.revacare.co.uk) or Reva Carer Mobile app, Carers shall complete the online application form for registration. Carer undertakes that all information provided shall be true and accurate. Completion of the registration does not guarantee acceptance - listing is at the sole discretion of the Platform.

Background Checks

The Platform will carry out security and background checks including:

  • DBS / Criminal Record Checks
  • Qualification Verification
  • Reference Checks with past employers and care seekers
  • Identity Verification

Carers shall undergo appropriate training recommended by the Platform. This training shall be at the Carer's own cost, with certificates submitted as evidence of completed training.

3. CONTRACT OF ASSIGNMENT

Once an assignment is booked, a contract is formed directly between the Client and You, the Self Employed Carer. At that stage, You are working directly for the Client.

By confirming your acceptance of this Agreement, You hereby appoint Reva to be your disclosed collection agent solely for the purposes of providing a secure means for collecting and handling payments from the clients on behalf of the Carers.

The HCA is a self-employed contractor and nothing in this Agreement will make the HCA an employee, worker, agent or partner of the Platform or the Care seeker/Client.

4. NON-EXCLUSIVE USAGE

Reva recognises that the Self Employed Carer is working in a self-employed capacity and is free to carry out their own business during the period of this Agreement. The Self Employed Carer shall be under no obligation to accept any job that is proposed or posted.

5. RESTRICTIONS ON ENGAGING WITH INTRODUCED CLIENT

The HCA shall not circumvent the Platform in any manner by accepting any assignment, job work or contract of any nature with any Care seeker/Client with whom the HCA has interacted or worked with through the Platform.

Any such circumvention will be a breach of this Agreement and HCA shall be liable to pay to the Platform a sum of GBP 2500 plus VAT as liquidated damages. The Platform shall also be entitled to forthwith delist the HCA.

6. EXPECTED STANDARDS OF BEHAVIOUR (ESB)

You agree that Reva's reputation may be damaged if You act inappropriately during any Assignment. You agree to be bound by Reva's ESB at all times during Assignments.

  • Perform services with all due reasonable care, skill, and ability
  • Do not discriminate based on race or sexual orientation
  • Do not accept any gifts, material or monetary offers from clients
  • Act professionally and appropriately at all times
  • Notify clients as soon as reasonably possible if unable to provide services due to illness or injury

7. LIVE-IN CARE AND VISITING CARE

Live-in Care

Live-in Care Assignments necessitate moving into the home of the Care Seeker for a set period. The Self Employed Carer will be provided with their own room within the Care Seeker's house for the duration of the Assignment.

  • Be available on site for urgent matters including emergencies
  • Enjoy own leisure time when not carrying out specific required tasks
  • Not ordinarily called upon more than two times during the night unless pre-agreed or emergency
Visiting Care

Visiting Care Assignments do not require moving into the home. The Self Employed Carer will complete assignments for designated hours per day on an agreed basis with the Client.

8. FEES AND PAYMENT

Fee Structure

The Total Care Fee is made up of two components:

  • Basic Care Fees: Amount payable to the self-employed Carer for delivery of care services
  • Platform Service Fee: Currently 10% plus VAT charged on top of Basic care fees, retained by Reva Care

The Service Fee includes access to the Platform and app, plus other benefits, free training, and marketing to clients.

Payment Process
  • All Care Fees are collected by Reva care via third party payment provider (e.g., Stripe)
  • Care Fee is distributed to the self-employed Carer minus the Service Fees and Platform fees
  • Payments remitted within ten (10) business days of receipt
  • £30 administration fee if payment details become out of date and not updated within 5 working days

By accepting this Agreement, You acknowledge that the Service Fee forms part of the overall Hourly Rate payable by the Client and no charge is made to You for providing work-finding services.

9. EQUIPMENT AND OPERATIONS

Compatible Mobile Device (CMD)

To apply to and attend Assignments, Self Employed Carer must possess a smartphone equipped with access to the Reva Platform and Reva App.

Geo-Tracking

Reva may collect location coordinates of your device for purposes of:

  • Providing support if Self Employed Carer and Client cannot find each other
  • Confirming that the Self Employed Carer performs the job
  • Confirming assignment completion

10. RELATIONSHIP OF THE PARTIES

For the duration of this Agreement:

  • You, the Self Employed Carer are a self-employed Independent Care Provider
  • You have not been engaged by Reva to perform any Assignment on Reva's behalf
  • This Agreement does not create any employment, worker or agency relationship
  • You have no authority to bind Reva
  • You are responsible for all income tax, National Insurance and other contributions

11. REPRESENTATIONS AND WARRANTIES

You confirm, represent, and warrant to Reva that:

  • You have the legal right to provide care on any Assignment
  • You have the legal right to work in the United Kingdom
  • You hold a valid DBS/PVG certificate or equivalent document
  • You have the required skill, experience, and qualifications
  • You shall perform Assignments professionally and diligently in accordance with ESB
  • You maintain adequate professional indemnity insurance

12. INDEMNIFICATION

You agree that the conduct and provision of care during Assignments are fully and entirely your responsibility. By signing this Agreement, You agree to defend, indemnify and hold harmless Reva from all losses, damages, liabilities arising from:

  • Bodily injury, death of any person, theft or damage to property resulting from your acts or omissions
  • Your breach of any representation, warranty, or obligation under this Agreement

13. INSURANCE

It is your sole responsibility to maintain adequate professional indemnity insurance, occupational accident insurance, unemployment, liability, and any other required insurance with policy limits sufficient to protect Reva and its affiliates.

14. TERM AND TERMINATION

This Agreement shall remain in effect unless terminated Reva may deactivate your profile for reasons including:

  • Inactivity on the Platform
  • Breach of Carer Standards or ESB
  • Unable to exhibit necessary DBS/PVG certificate or right to work
  • Any safeguarding concern
Termination Obligations

Upon termination, Reva shall pay outstanding Service Fees earned for Assignments already completed. For avoidance of doubt, Reva does not charge You any fees for work-finding services in compliance with Regulation 8 of the Conduct of Employment Agencies and Employment Businesses Regulations 2003.

15. CONFIDENTIAL INFORMATION

In performing Assignments, You will receive private/confidential information regarding the Client. You agree that You will not publish, disseminate or disclose any confidential information including:

  • Addresses, telephone numbers, personal details
  • Financial information
  • Unauthorized photographs or recordings

Failure to comply is considered a serious breach of ESB and may result in Agreement termination.

16. DATA PRIVACY & PROTECTION

When You undertake Assignment for Client or Care Seeker, you do so as a separate and independent Data Controller. You agree to observe all applicable requirements of Data Protection Laws.

17. MODIFICATION

By using or receiving access to the Reva Platform, You and Reva are bound by the terms of this Agreement, including any modifications. Continued use after modifications constitutes consent. You are responsible for regularly reviewing this Agreement.

18. DISPUTE RESOLUTION AND GOVERNING LAW

This Agreement is governed by the laws of England and Wales, and the Parties hereby agree to the sole jurisdiction of the courts of England and Wales.

CONFIRMATION BY CARER

BY CLICKING "ACCEPT AND PROCEED" YOU HEREBY AGREE TO THIS SELF EMPLOYED CARER AGREEMENT.

You acknowledge that you have read and understood the terms of this Agreement and have had adequate opportunity to seek independent legal advice prior to accepting this Agreement.
